Desstopp AI Systems is an AI automation company based in Las Vegas, Nevada. We design, build, and
manage autonomous AI agents and automation services for dental practices and other businesses. Our
services include AI chat agents, AI phone agents, appointment booking automation, lead follow-up systems,
website builds, and managed AI operations.
2. Acceptance of Terms
By visiting our website, submitting an inquiry, booking a consultation, or entering into a service agreement
with Desstopp AI Systems, you confirm that you have read, understood, and agree to these Terms of Use.
These terms apply to all visitors, clients, and anyone who interacts with our website or services.
3. Services Provided
Desstopp AI Systems provides the following services to clients under separate service agreements:
Tier 1 — Autonomous Patient Intake Agent: AI chat widget and booking automation
Tier 2 — AI Concierge and Pateint Recovery Agent: Virtual avatar with conversational AI and patient recovery capabilities
Optional Website Add-On: custom practice website build, hosting, and management
All services are subject to a separate service agreement between Desstopp AI Systems and the client.
These Terms of Use govern your general use of our website and communications.
4. Intellectual Property
All content on the Desstopp AI Systems website, including but not limited to text, graphics, logos, agent
designs, workflow structures, automation systems, and proprietary AI configurations, is the intellectualproperty of Desstopp AI Systems. You may not copy, reproduce, distribute, or create derivative works from
any content without prior written permission.
AI agents and workflows built by Desstopp AI Systems on behalf of clients are proprietary to Desstopp AI
Systems. Clients are granted a license to use the agent during their active service agreement. Upon
termination, access to the agent infrastructure reverts to Desstopp AI Systems.
5. Client Responsibilities
By engaging Desstopp AI Systems, you agree to:
Provide accurate and complete information during onboarding
Grant necessary access to calendars, phone systems, and existing platforms as required
Review agent performance reports and communicate material changes to your services promptly
Use Desstopp AI services only for lawful purposes and in compliance with applicable regulations
Not attempt to reverse engineer, copy, or replicate any AI agent, workflow, or system built by Desstopp
AI Systems
Notify Desstopp AI Systems immediately if you become aware of any unauthorized use of your agent or
account
6. Payment and Billing
All service fees including setup fees and monthly management fees are outlined in your individual service
agreement. Setup fees are due prior to the commencement of any build work. Monthly fees are billed at
the beginning of each billing cycle. Failure to remit payment may result in suspension or termination of
services. All fees are non-refundable unless otherwise stated in your service agreement.
7. No Guarantee of Results
Desstopp AI Systems makes no guarantee of specific business results including but not limited to a
specific number of new patient bookings, revenue growth, lead conversion rates, or reduction in missed
calls. While our systems are designed to improve practice efficiency and patient communication, actual
results will vary based on practice size, location, patient volume, and other factors outside our control.
8. Limitation of Liability
To the fullest extent permitted by law, Desstopp AI Systems shall not be liable for any indirect, incidental,
special, or consequential damages arising out of or in connection with your use of our services. Our total
liability in any circumstance shall not exceed the total fees paid to Desstopp AI Systems in the three
months preceding the claim.
9. Third-Party Tools and Platforms
Desstopp AI Systems may use third-party platforms and tools in the delivery of services. We are not
responsible for the availability, performance, or policies of third-party services. Clients are responsible forany fees associated with third-party services required for their package beyond what is covered by their
Desstopp AI service agreement.
10. SMS and Text Message Communications
Desstopp AI Systems and its clients may send automated SMS text messages to patients and leads as part
of the services provided. These messages may include appointment confirmations, appointment reminders,
follow-up sequences, and responses to inbound inquiries. By submitting a phone number through any form,
chat widget, or AI agent powered by Desstopp AI Systems, the user consents to receive SMS messages
related to the services they inquired about.
SMS Consent and Opt-In
Consent to receive SMS messages is obtained at the point of first contact through our AI agents or web
forms
Consent is not a condition of purchasing any service or scheduling any appointment
Message frequency will vary based on appointment activity and follow-up sequences
Standard message and data rates may apply depending on your mobile carrier
How to Opt Out of SMS
To stop receiving SMS messages at any time, reply STOP to any message you receive. You may also reply
HELP for assistance. Once you opt out, you will receive one final confirmation message and no further SMS
communications will be sent. To re-subscribe, reply START or contact the practice directly.
TCPA Compliance
All SMS communications delivered through Desstopp AI Systems are intended to comply with the
Telephone Consumer Protection Act (TCPA). Client practices are responsible for ensuring that proper
consent has been obtained from their patients prior to the delivery of automated SMS messages and for
maintaining records of that consent.
11. Email Communications
Desstopp AI Systems and its clients may send automated email communications to patients and leads as
part of the services provided. These emails may include appointment confirmations, appointment
reminders, follow-up sequences, service information, and responses to inquiries submitted through AI
agents or web forms.
Email Consent and Opt-In
By submitting an email address through any form, chat widget, or AI agent powered by Desstopp AI
Systems, the user consents to receive email communications related to the services they inquired about
Consent to receive emails is not a condition of purchasing any service or scheduling any appointment
Transactional emails such as appointment confirmations and reminders do not require separate
marketing consent
Marketing or promotional emails will only be sent to users who have opted in to receive themHow to Opt Out of Email
To unsubscribe from email communications at any time, click the unsubscribe link included in every
marketing or promotional email. You may also contact the practice directly to request removal.
Transactional emails related to confirmed appointments may continue until the appointment is completed
or canceled.
CAN-SPAM Compliance
All commercial email communications delivered through Desstopp AI Systems are intended to comply with
the CAN-SPAM Act. Each commercial email includes a clear identification of the sender, a valid physical
address, and an unsubscribe mechanism. Client practices are responsible for ensuring compliance with
applicable email marketing regulations for their jurisdiction.
12. Termination
Either party may terminate services with 30 days written notice unless otherwise specified in the service
agreement. Upon termination, the client's access to Desstopp AI-managed agent infrastructure,
dashboards, and automation systems will be deactivated. Clients are responsible for retrieving any data
they wish to retain prior to termination.
13. Changes to These Terms
Desstopp AI Systems reserves the right to update these Terms of Use at any time. Changes will be posted
on our website with an updated effective date. Continued use of our website or services after changes are
posted constitutes acceptance of the updated terms.
14. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the State of Nevada.
Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located
in Clark County, Nevada.

Business Associate Agreement with qualifying clients upon request.
